
Master Service Agreement (MSA) & Terms of Use

Provider: LKPixel
By purchasing software products, hiring custom development services, or engaging in any business transaction with LKPixel ("Provider") via any channel (WhatsApp, Email, Phone, Social Media, etc.), you ("Client") agree to be bound by the following terms.
Note on Invoices: Specific terms (such as warranty periods, prices, and project scope) mentioned in your official Invoice or Quotation shall always override the general terms listed below.
1. Scope of Services
This agreement covers two types of engagements:
- A. Ready-Made Products: Purchase of pre-built software (e.g., POS Systems, Inventory Managers).
- B. Custom Development: Hiring LKPixel to design and develop a unique application or website.
2. Intellectual Property & Ownership
- Ready-Made Products: The Client receives a license only. You may not resell, decompile, or copy the source code.
- Custom Development: Ownership of the compiled app transfers to the Client strictly upon 100% settlement of payment. LKPixel retains rights to reusable code libraries.
3. Payment Terms & Refund Policy
- Advance Payments: Deposits are strictly non-refundable.
- No Refunds: Once software is installed/delivered, no refunds are granted.
4. Client Responsibilities
- The Client is responsible for providing all necessary assets (logos, text) and requirements on time.
- Any requests outside the initial scope will be charged additionally.
5. Hardware & Training
- Hardware Compatibility: Our software is designed to work on standard, modern hardware. LKPixel is not responsible for performance issues caused by the Client's outdated computers, incompatible printers, or slow internet connections.
- Training: Initial training is provided upon installation as specified in the Invoice. Any additional training (e.g., for new staff members hired by the Client later) will be charged at our standard hourly rates.
6. Indemnification & Subcontracting
- Indemnification (Your Liability): The Client agrees to indemnify and hold harmless LKPixel from any legal claims, damages, or expenses arising from the Client’s use of our software for illegal purposes, or from content (images/text) provided by the Client that violates copyright laws.
- Right to Subcontract: LKPixel reserves the right to hire third-party subcontractors or freelancers to perform parts of the work, provided that the quality of delivery remains consistent.
7. Limitation of Liability
LKPixel shall not be liable for any direct or indirect damages, business losses, or data loss arising from the use of our software.
8. Third-Party Integrations & Accounts (Critical)
Disclaimer: LKPixel acts solely as a technical developer and is not responsible for the policies, bans, or decisions made by third-party platforms.
A. App Store / Play Store Publishing
- We assist in uploading apps, but approval is not guaranteed.
- LKPixel is not liable if an app is rejected or suspended due to Content Policy violations.
- If an app is rejected, the Client is still liable to pay for the development effort.
B. Ad Networks & Payment Gateways
- We are not responsible for account bans, ad limits (AdMob), or frozen funds (PayPal/PayHere/Stripe).
- Compliance with third-party policies is the Client's sole responsibility.
9. Hosting, Domains & Server Costs
- Recurring Fees: Domain names and Server costs are recurring fees to be paid by the Client.
- Expiration: If the Client fails to renew these services on time, data may be permanently lost. LKPixel is not responsible for data loss due to non-payment of server fees.
10. Promotion & Force Majeure
- Portfolio Rights: LKPixel reserves the right to display the completed project in our portfolio for marketing purposes, unless an NDA is signed.
- Force Majeure: We are not liable for delays caused by internet outages, prolonged power failures, natural disasters, or government restrictions.
11. Business Hours & Professional Conduct
- Support Hours: Technical support is provided during standard business hours (e.g., Mon-Fri, 9:00 AM - 5:00 PM). Support requests made outside these hours will be addressed on the next business day.
- Zero Tolerance for Abuse: We maintain a respectful working environment. Any abusive behavior, threats, or harassment towards our staff will result in immediate termination of the project without refund.
12. Warranty & Support
- Warranty: Free bug fixing for the period specified in your Invoice (default: 3 months). Covers technical bugs only.
- AMC: Ongoing support requires an Annual Maintenance Contract fee.
13. Amendments & General Provisions
- Updates: LKPixel reserves the right to update these terms at any time. Continued use of our services after such changes implies acceptance of the new terms.
- Severability: If any provision of this agreement is found to be unenforceable, the remainder of the agreement shall remain in full force and effect.
14. Governing Law
This agreement shall be governed by the laws of the Democratic Socialist Republic of Sri Lanka.
